This transaction marks a significant milestone for both Neuways and its new owner, Zenzero, as they look to the future together. Background Neuways, a highly valuable IT solutions provider based in the Midlands, specialises in three core services: managed IT support, Microsoft Dynamics 365 Business Central/ERP implementation, and managed cybersecurity. The business has built strong, long-term relationships with its clients through multi-service, multi-year contracts, which have supported consistent financial performance and steady growth. Selecting an advisor Neuways sought the sector and transaction expertise of Evolution Capital to conduct a strategic review aimed at understanding the full value of the business and exploring an exit strategy for its ultimate shareholders. Evolution Capital’s primary role was to position Neuways in a way that highlighted key opportunities for potential buyers, ensuring the company’s unique strengths and intrinsic value were brought to the forefront before then identifying the optimal acquirer and entering into the transaction stage. Advice, planning, and preparation With a track record of advising over 250 clients and managing deals collectively valued at over £1 billion, Evolution Capital brought industry insight and meticulous attention to detail to the process. After the initial strategic review, the Neuways shareholders decided to continue working with our team to guide them through the entire sale process to a successful outcome and maximum value. The preparation phase involved the creation of an Information Memorandum (IM) and the use of EC Analytics, an advanced data analytics platform that allowed potential buyers to interact with critical business data. This dynamic approach helped streamline the marketing process and ensure that Neuways’ financial performance, particularly its recurring gross profits and adjusted EBITDA, was effectively communicated. The Evolution Capital team worked diligently to prepare the IM and launch the process in August, aiming to complete a transaction ahead of the Autumn budget. The EC transaction team acted quickly and worked efficiently with Neuways and Zenzero to comfortably meet the deadline. AdEPT has been highly active in the telecoms market acquiring businesses to complement their expanding portfolio and in 2020 appointed Evolution Capital as advisors for the Group’s next acquisition. The brief was to identify, qualify and introduce the company to suitable enterprises looking to exit through a business sale. AdEPT had an exacting list of selection criteria and wanted to target organisations that would enable considerable advancement in the area of enterprise networks and cyber-security. The Challenge In an industry where there are a plethora of technology companies looking to be acquired the challenge in finding suitable candidates is an exacting and time-consuming process. Evolution Capital’s mission is to use its expertise, robust methodologies and strategic partnerships to ensure clients get the right solution for their requirements. Finding the right organisations that fit the selection criteria was perceived by AdEPT to be a challenge that necessitated expert advice and guidance. High on the list of requirements from an acquisition included technical expertise in specific market places, an established enterprise customer base and significant recurring revenues. Further challenges were introduced by the effects of the global pandemic which reduced the amount of physical meeting time normally associated with such a detailed search and fulfilment programme. Advice, Planning and Preparation Evolution Capital carried out an ‘in-depth review of the market place to identify appropriate acquisition targets to support AdEPT’s stated objectives. After identifying several potential targets and matching them to requirements introductions were initiated. Potential acquisitions needed to fulfil the stated criteria of enhancing AdEPT’s capabilities and increasing its market share in key cloud-centric growth. Datrix was highlighted early in the process as an organisation that could potentially ‘tick all the boxes’. It was identified as a substantial, strategically important acquisition, in line with AdEPT’s strategy. Evolution Capital planned and managed the complete process, including the sale documentation, in conjunction with a strictly adhered to timetable. A Successful Outcome. AdEPT acquired Datrix Limited in April 2021 in a deal valuing the business at £16m which was funded through the Group’s new bank facility. Datrix is an established, award-winning supplier of advanced cloud-based networking, communications, and cybersecurity solutions, headquartered in London. Evolution Capital oversaw the complete process ensuring an optimal outcome to the satisfaction of both parties. They focus on delivering premium unified communications and have more than 1,000 customers which they help work more efficiently and productively. In 2018 they decided to explore the market to find a buyer to acquire the business. The ChallengeAfter PACE’s founders spent 30 years building the company they decided it was time to investigate the potential of a trade sale of the business. The company was growing successfully and maintaining this momentum required considerable focus, which might be diluted by looking for potential acquirers. The management team considered several different advisors to initiate their disposal programme. Evolution Capital was appointed by PACE Telecom in 2019 to prepare the business for sale, introduce the company to potential acquirers and manage the cycle. Advice Planning and PreparationThe first stage in the disposal process was to implement a strategic review of PACE to begin the detailed preparation of the business for sale. Evolution Capital delivered a multi-disciplined fusion of skills and know-how from its combined team of advisors, analysts and industry experts. This enabled a complete review of the business and made several recommendations to enhance the value of the potential transaction. The application of Evolution’s unique set of methodologies and robust processes during the review highlighted several areas that needed to be refined and finessed to ensure the best outcome for PACE Telecom. Following the review Evolution Capital produced and completed the necessary document for the forthcoming transaction. A Successful OutcomeAfter overseeing the preparation of the business Evolution Capital approached several potential buyers on behalf of their client. All acquirers needed to meet PACE’s criteria including valuation, terms and conditions. Enreach UK were identified as a likely acquirer and one that could deliver a satisfactory outcome for all parties concerned. Evolution Capital oversaw the complete disposal process to a successful conclusion. The acquisition of PACE continued the acquirer’s expansion into the UK market and follows the formal launch of the Enreach UK brand in April 2021. Pace Telecom is an excellent fit for Enreach, having been a customer of their Service Providers brand for several years and specialising in cloud telephony.
