The challenge Working closely with shareholders and building trusting relationships with business owners is never easy. Due to our longstanding network in the sector, combined with our extensive knowledge of the sector and transaction know-how, Evolution Capital work hard to create seamless synergies for our acquirers, and our strategic review Advice, planning and preparation Our first deal within the sector, Nine Telecom not only engaged with Evolution Capital to provide the essential advice and guidance to guide the management team through a successful series of acquisitions, Grahame Purvis,Co-Founder and Chairman of Evolution Capital, worked closely with the management team at Nine to ensure the seamless integration of the businesses acquired alongside management advice delivered to the shareholders. Grahame Purvis, with the Evolution Capital team, then led the business through 12 acquisitions,to include Dataflow, Shipton Communications, and Club Communications, to name a few. Our advice and acquisitions made on behalf of the shareholders of Nine resulted in the increase of the business value, leading to the eventual sale of the company to Onecom. A successful outcome Evolution Capital were honoured to have been chosen by Nine Group to assist their team on their acquisitive trail and journey to value growth for the business. The challenge The shareholders of Spiritel selected Evolution Capital to research and identify acquisition opportunities, and to assist and advise the business owners in the purchase of and investment in multiple acquisitive opportunities to enhance the business value. Funded by Glasgow-based Penta Capital, Spiritel were searching for synergistic opportunities within the telecoms and telephony market.Evolution Capital were appointed to undertake key project management, alongside providing strategic business advice throughout the process. Advice, planning and preparation From understanding the shareholder goals and ambitions, to identifying qualifying targets, to negotiating HoT, Evolution Capital were chosen by the shareholders and management team of SpiriTel to assist the shareholders in their acquisitive journey towards value enhancement and growth. Throughout the course of the relationship, Nigel Cook, managing director of Evolution Capital,advised the shareholders through a total of four successful acquisitions of telecoms businesses based in the UK, including the purchase of Net:Telecom. The business was committed to its strategy and value proposition to the SME and corporate sector, with a new objective to expand operations through indirect channels and increase profits through productivity gains. Advice, planning and preparation Evolution Capital was appointed in 2003 to compliment organic growth with an M&A programme. Following a Strategic Review BNS acquired a number of strategic targets including Modus Telecom and XAL to extend their core services to business in the UK. The challenge Modus provided entry into the enterprise sector, adding a number of prestigious customers, including American Express. XAL provided BNS an entry into the European market offering a prepaid telephony platform to carriers, partners and resellers in Europe. In the year ending July 2009, BNS recorded sales of £37m and underlying EBITDA of £3.2m. In a deal agreed with Daisy Telecom, the shareholders exited in 2010 at a price of 20 pence per BNS Share, valuing the fully diluted ordinary share capital at approximately £10.45m.
