The transaction marks Redsquid’s largest acquisition to date and significantly strengthens its specialist capability in the education sector across the UK. The Background Redsquid, the UK based managed technology and cybersecurity provider, acquired Partnership Education as part of its continued growth in the education market. Based in Cranfield, Partnership Education supports more than 170 schools and academies with their IT and technology needs. The acquisition brings nearly 80 employees into the Redsquid group and adds more than £8 million of revenue, marking a major milestone in Redsquid’s growth journey. Advice, Planning and Preparation Evolution Capital acted as Redsquid’s Financial Due Diligence provider on the acquisition. Using the EC Analytics toolset, the team supported Redsquid with deeper insight into the trajectory and performance of the business, helping management assess value, performance and strategic fit with greater clarity. The challenge For acquisitive businesses, the ability to assess a target quickly and effectively is critical. Beyond understanding historic financial performance, management teams need clear insight into the underlying drivers of the business, the quality of earnings and any issues that could influence value or execution. In this case, DSP required focused, commercially relevant financial due diligence to support decision making around a potential acquisition and ensure key risks and considerations were identified at the right stage of the process. Our advice Evolution Capital was appointed to provide financial due diligence support to DSP on the transaction. Our role was to analyse the target business in detail, helping DSP’s management team understand financial performance, working capital considerations and the key issues likely to impact the acquisition. Over the course of that partnership, we provided financial due diligence and EC Analytics to support sharper analysis, stronger visibility and more confident decision making across a number of strategic opportunities. The challenge Babble is one of the UK’s most active acquirers in the communications and managed services market, with an ambitious growth strategy and a high volume of opportunities to assess. For a management team operating at pace, the challenge is not simply gaining access to information, but receiving analysis in a format that supports better, faster and more confident decision making. In a competitive market, Babble needed insight that went beyond conventional reporting and delivered real commercial value across multiple transactions. Our advice Evolution Capital partnered with Babble’s management team across five projects in 2025, providing financial due diligence supported by EC Analytics. Our role was to give the team clearer visibility on target businesses, a stronger understanding of underlying performance and greater confidence in the issues that mattered most. Using EC Analytics, we presented data in a way that was practical, decision-led and aligned to Babble’s acquisition strategy. Across each project, our work helped the management team interrogate the numbers more effectively, focus on key value drivers and assess risks with greater clarity. The transaction builds on a longstanding relationship between Chess and Evolution Capital, with the team having advised on a number of Chess acquisitions since 2016. The Background Chess ICT completed the acquisition of Silversands Limited in November 2024, adding a specialist Microsoft consultancy capability to the group. Silversands was described as an IT consultancy and Microsoft Certified Partner serving more than 100 enterprise and public sector customers, with a 29 person specialist team joining Chess. Advice, Planning and Preparation Evolution Capital acted as Chess ICT’s financial due diligence provider on the acquisition. Using the EC Analytics toolset, the team supported Chess with deeper insight into the trajectory and performance of the business, helping management assess value, performance and strategic fit with greater clarity. His key message was the importance of precise, data-driven insights to support informed decision-making in today’s fast-paced investment environment. Confidence in Recurring Revenue and EBITDA StructureMason outlined the importance of having confidence in a business’s financials, particularly its recurring revenue and EBITDA structure. He explained, “We want to know that the business we’re looking at has a repeatable cash flow or structuring EBITDA that we can really wrap the number around. Do we have confidence in it?” For banks and investors, this level of financial transparency is essential.
