Background
Neuways, a highly valuable IT solutions provider based in the Midlands, specialises in three core services: managed IT support, Microsoft Dynamics 365 Business Central/ERP implementation, and managed cybersecurity. The business has built strong, long-term relationships with its clients through multi-service, multi-year contracts, which have supported consistent financial performance and steady growth.
Selecting an advisor
Neuways sought the sector and transaction expertise of Evolution Capital to conduct a strategic review aimed at understanding the full value of the business and exploring an exit strategy for its ultimate shareholders. Evolution Capital’s primary role was to position Neuways in a way that highlighted key opportunities for potential buyers, ensuring the company’s unique strengths and intrinsic value were brought to the forefront before then identifying the optimal acquirer and entering into the transaction stage.
Advice, planning, and preparation
With a track record of advising over 250 clients and managing deals collectively valued at over £1 billion, Evolution Capital brought industry insight and meticulous attention to detail to the process. After the initial strategic review, the Neuways shareholders decided to continue working with our team to guide them through the entire sale process to a successful outcome and maximum value.
The preparation phase involved the creation of an Information Memorandum (IM) and the use of EC Analytics, an advanced data analytics platform that allowed potential buyers to interact with critical business data. This dynamic approach helped streamline the marketing process and ensure that Neuways’ financial performance, particularly its recurring gross profits and adjusted EBITDA, was effectively communicated.
The Evolution Capital team worked diligently to prepare the IM and launch the process in August, aiming to complete a transaction ahead of the Autumn budget. The EC transaction team acted quickly and worked efficiently with Neuways and Zenzero to comfortably meet the deadline.
